1.1 Information Intermediary Only:

4TheBold acts solely as a technology platform connecting various ecosystem participants. We are an "intermediary" as defined under the Information Technology Act, 2000 (India). We do not control, endorse, or assume liability for any content, deals, or interactions between users.

1.2 No Financial, Broker, or Investment Advice:

The Platform is not a registered broker-dealer, investment advisor, crowdfunding portal, placement agent, or financial institution.

• No Offers: Nothing on the Platform constitutes an offer to sell or a solicitation of an offer to buy any securities.
• Regulatory Warning (General Solicitation): You understand that publishing fundraising details, deal terms, or solicitation materials to the public (i.e., to non-verified or non-accredited users) may violate securities laws (such as 'General Solicitation' under US Regulation D or 'Public Offer' norms under the Indian Companies Act, 2013). 4TheBold provides privacy settings, but it is your sole responsibility to utilize them to remain compliant.
• No Finder’s Fees: 4TheBold does not negotiate terms or receive transaction-based compensation (success fees) for securities transactions unless explicitly stated under a separate regulated entity agreement.
• No Fiduciary Duty: We have no fiduciary duty to any User.
• User Responsibility: All investment decisions are made solely by you. You acknowledge that startup investing carries high risk, including the total loss of capital. You are solely responsible for your own due diligence (DD).

1.3 No Reliance:

You acknowledge and agree that you do not rely on the Platform’s content, data, or signals for any business, legal, or financial decisions.

2.1 Eligibility:

You represent and warrant that:

• You are at least 18 years of age (or the age of majority in your jurisdiction).
• You have not been previously suspended or removed from our Platform.
• Accredited Status: If you participate as an Investor, you are responsible for ensuring you meet the "Accredited Investor," "Sophisticated Investor," or equivalent definition in your local jurisdiction.

2.2 Verification:

We reserve the right, but have no obligation, to conduct background checks, KYC (Know Your Customer), or verify professional credentials. Failure to provide requested proofs may result in immediate suspension.

2.3 Account Security:

You are responsible for all activity that occurs under your credentials. You agree to notify us immediately of any unauthorized access.

4.1 Your Content (User-Generated Content):

You retain ownership of the content you submit. However, by submitting content, you grant 4TheBold a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, and sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, display, analyze, and train machine learning models/AI algorithms on such content.

4.2 Notice-and-Takedown (DMCA / Intermediary Guidelines):

We respect intellectual property. If you believe content violates your rights, notify us at 4thebold4@gmail.com. Upon receipt of a valid notice, we will remove or disable access to the infringing material in compliance with the DMCA (USA) and IT Rules (India).

4.3 No Editorial Obligation:

We have no obligation to pre-screen, monitor, review, or edit User content. We assume no responsibility for content posted by Users.

4.4 Algorithmic Transparency:

You acknowledge that visibility, rankings, and "signals" on the Platform are determined by by user activity and/or automated algorithms. We are not obligated to disclose the specific weightings or logic of these algorithms.

4.5 Data Aggregation:

You agree that we may collect, aggregate, and anonymize data generated by your use of the Platform to create ecosystem reports, benchmarks, and indices. These aggregates belong solely to 4TheBold.

4.6 Feedback:

If you provide us with any feedback, feature suggestions, or ideas ("Feedback"), you assign all rights in such Feedback to 4TheBold. We shall be entitled to use the Feedback for any purpose without any compensation or credit to you.

4.7 Publicity Rights:

You grant 4TheBold a limited, non-exclusive license to use your name, logo, and public profile picture in our marketing materials, pitch decks, and website (e.g., "Trusted By" or "Community Members" sections) to identify you as a user of the Platform. You may opt-out of this by emailing support.

5.1 Privacy Policy Incorporation:

Your use of the Platform is governed by our Privacy Policy, which is hereby incorporated by reference into these Terms.

5.2 Lawful Basis (GDPR/DPDP):

We process your personal data based on: (a) Performance of Contract (providing services); (b) Legitimate Interest (fraud prevention, analytics); and (c) Consent (marketing, specific features).

5.3 Data Subject Rights:

Depending on your jurisdiction, you may have the right to access, rectify, delete ("Right to be Forgotten"), or restrict processing of your data. You may also have the right to opt-out of the "sale" or "sharing" of personal data (under CCPA/CPRA). Contact 4thebold4@gmail.com to exercise these rights.

5.4 Cross-Border Transfer:

You explicitly consent to the transfer, storage, and processing of your data in India region and other jurisdictions where our servers or sub-processors are located. We rely on standard contractual clauses or equivalent safeguards for such transfers.

5.5 Retention & Deletion:

We retain data only as long as necessary for the purpose collected. Upon account termination, data may be retained for a specific period to comply with legal, tax, or audit obligations.

6.1 Payment Terms:

Certain features are paid services. By selecting a paid service, you agree to pay the fees indicated, including all applicable taxes. You are responsible for all applicable taxes (VAT, GST, Sales Tax) associated with your jurisdiction.

6.2 Payment Processing (Razorpay):

We use Razorpay and/or other third-party payment gateways.

• Authorization: You authorize us to charge the designated payment method.
• Data Handling: Your payment details are processed directly by the payment gateway; 4TheBold does not store full credit card details.

6.3 Delivery & Commercial Disclaimers:

• Delivery: Digital products are delivered immediately or within 24 hours.
• No Guarantee of Results: Payment for "Promoted" or "Premium" visibility does not guarantee funding, reach, specific engagement levels, or business outcomes.
• Price Changes: We reserve the right to change pricing or withdraw features at any time. Changes will not apply retroactively to already paid terms.

6.4 Refund & Cancellation Policy:

• General Rule: All sales are final. We do not offer refunds once access/credits have been granted.
• Exceptions: Refunds are only processed for technical errors (e.g., double billing).
• Processing: Approved refunds are processed within 5-7 business days to the original source.

6.5 Chargebacks:

Initiating a chargeback without prior contact is a violation of these Terms and may result in account termination and legal recovery actions.

7.1 DISCLAIMER OF WARRANTIES:

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, 4THEBOLD DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

7.2 LIMITATION OF LIABILITY:

IN NO EVENT SHALL 4THEBOLD, ITS COMPANY, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY TO YOU SHALL NOT EXCEED THE AMOUNT PAID BY YOU IN THE SIX (6) MONTHS PRECEDING THE CLAIM, OR ₹5,000 INR of Equivalent, WHICHEVER IS LOWER.

7.3 Specific Liability Shields:

• Third-Party Links: We are not responsible for the content or practices of third-party websites or tools linked on the Platform.
• User Disputes: We are not liable for any disputes, losses, or misconduct arising between Users (e.g., between a Founder and an Investor).
• Force Majeure: We are not liable for delays or failure to perform resulting from causes beyond our control (e.g., acts of God, war, strikes, cyber-attacks, government orders).
• Class Action Waiver: To the extent permitted by law, you agree to resolve disputes on an individual basis and waive any right to participate in a class, collective, or representative action.
• Consumer Carve-Out: If you use the Platform for business purposes, consumer protection laws (e.g., right of withdrawal) do not apply.

7.4 Indemnification:

You agree to indemnify and hold harmless 4TheBold from any claims arising out of your use of the Platform, your content, or your violation of these Terms.

8.1 Termination:

We may terminate or suspend access immediately for any reason, including breach of Terms.

8.2 Right to Audit:

We reserve the right to investigate your use of the Platform to ensure compliance with these Terms, including investigating suspected fraud or manipulation.

8.3 Survival:

Provisions regarding IP, Indemnification, Liability, Dispute Resolution, and Data Rights shall survive termination.

9.1 Governing Law:

These Terms shall be governed by the laws of India.

9.2 Arbitration:

Any dispute shall be finally resolved by arbitration in accordance with the Arbitration and Conciliation Act, 1996. The seat shall be Hyderabad, India. The language shall be English.

9.3 Jurisdiction:

Subject to arbitration, courts in Hyderabad shall have exclusive jurisdiction.

10.1 Entire Agreement:

These Terms, combined with our Privacy Policy and Refund Policy, constitute the entire agreement between you and 4TheBold.

10.2 Assignment:

We may assign our rights and obligations under these Terms to any affiliate or in connection with a merger, acquisition, or sale of assets. You may not assign these Terms without our written consent.

10.3 Electronic Acceptance:

You acknowledge that clicking "I Agree" or using the Platform constitutes a legally binding electronic signature and contract.

10.4 Severability & Waiver:

If any provision is unenforceable, the rest remain in effect. No waiver of any term shall be deemed a further waiver.

10.5 Language:

These Terms are written in English. In the event of any conflict with a translated version, the English version controls.
